1. Agreement to Terms

1.1 Acceptance

By accessing and using the Azitics website (azitics.com) and our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of our services.

2.3 Professional Services Agreement

Specific service engagements are governed by separate Professional Services Agreements (PSA) that outline project scope, deliverables, timelines, and payment terms. In case of conflict between these Terms of Service and a PSA, the PSA shall prevail.

3. User Responsibilities

3.1 Account Security

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Prohibited Activities

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon our intellectual property rights
• Upload or transmit viruses or malicious code
• Interfere with the proper working of our services
• Attempt to gain unauthorized access to our systems
• Use our services to compete with us
• Misrepresent your identity or affiliation

3.3 Content Submission

When you submit content to us (including project requirements, feedback, or communications), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and modify such content for the purpose of providing our services.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality on our website and services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Azitics Private Limited and are protected by international copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

We acknowledge that all pre-existing intellectual property owned by you remains your property. Any deliverables created specifically for you under a Professional Services Agreement will be transferred to you upon full payment, unless otherwise specified in the agreement.

4.3 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes, subject to these terms.

4.4 Trademarks

The Azitics name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Azitics Private Limited. You must not use such marks without our prior written permission.

5. Payments and Billing

5.1 Service Fees

Fees for our services are outlined in the applicable Professional Services Agreement or service proposal. All fees are quoted in US Dollars unless otherwise specified.

5.2 Payment Terms

Unless otherwise agreed in writing, payment is due net 30 days from the invoice date. Late payments may be subject to interest charges of 1.5% per month or the maximum rate allowed by law.

5.3 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, excluding only taxes based on our net income.

5.4 Refund Policy

Due to the custom nature of our services, fees are generally non-refundable. Specific refund policies will be outlined in the applicable service agreement.

6. Confidentiality

6.1 Definition

"Confidential Information" includes all non-public information disclosed by either party to the other, whether in writing, orally, or by other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

6.2 Obligations

Each party agrees to:

• Use the same degree of care to protect Confidential Information as it uses to protect its own confidential information
• Not disclose Confidential Information to any third party without prior written consent
• Use Confidential Information only for the purpose of fulfilling its obligations under these terms

6.3 Exclusions

Confidential Information does not include information that:

• Was publicly known at the time of disclosure
• Becomes publicly known through no fault of the receiving party
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed by the receiving party
• Is required to be disclosed by law or court order

7. Limitation of Liability

7.1 No Consequential Damages

To the maximum extent permitted by law, in no event shall Azitics Private Limited, its directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of our services.

7.2 Total Liability

Our total cumulative liability to you for all claims arising from or related to these terms or our services shall not exceed the total amount of fees paid by you to us in the six months preceding the event giving rise to the claim.

7.3 Essential Purpose

The limitations in this section apply regardless of the legal theory on which the claim is based, and even if a party has been advised of the possibility of such damages. The parties acknowledge that these limitations are an essential element of the agreement between the parties.

8. Disclaimer of Warranties

8.1 "As Is" Basis

Our services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our services or the information, content, or materials included therein.

8.2 No Guarantees

We do not warrant that our services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of our services will be accurate or reliable.

8.3 Professional Advice

Our services include professional consulting advice. While we strive to provide accurate and helpful advice, you should consult with qualified professionals before making business decisions based on our recommendations.

9. Indemnification

You agree to indemnify, defend, and hold harmless Azitics Private Limited and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to our services
• Your violation of any term of these Terms of Service
• Your violation of any third-party right, including intellectual property rights
• Any claim that your content caused damage to a third party
• Your violation of any applicable law or regulation

10. Termination

10.1 Termination by You

You may stop using our services at any time. If you have an active service agreement, termination rights will be specified in that agreement.

10.2 Termination by Us

We may suspend or terminate your access to our services immediately, without prior notice or liability, if you breach these Terms of Service.

10.3 Survival

All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising from or relating to these terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, the parties agree to submit to the exclusive jurisdiction of the courts located in Islamabad, Pakistan.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Miscellaneous

12.1 Entire Agreement

These Terms of Service, together with any Professional Services Agreements and our Privacy Policy, constitute the entire agreement between you and Azitics Private Limited regarding your use of our services.

12.2 Severability

If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms of Service without our prior written consent. We may assign or transfer these terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
